Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cliently, a product of Lytronet Limited ("Cliently", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. You use the Service for a business or professional purpose, and you are responsible for complying with the laws that apply to your business in Nigeria.

2. The Service

Cliently helps service businesses manage bookings, invoices, quotes, payments, clients, a public business page, reviews, campaigns and related tools, including an AI assistant (Amara). We may add, change or remove features over time.

3. Your account

You must provide accurate information and keep it up to date. You are responsible for your login credentials, for all activity under your account, and for any team members you invite and the permissions you grant them. Enable two-factor authentication for extra protection and tell us immediately of any unauthorised use.

4. Plans, fees & billing

  • Plans: the Starter plan is free; Professional and Business are paid, billed monthly or annually. Current prices, limits and inclusions are shown on the Plan page.
  • Platform fee: on the free Starter plan a platform fee (currently 2%, capped at ₦3,000 per payment) is deducted from payments you collect. Paid plans currently have no platform fee. Your payment processor (Paystack) may charge its own separate fees.
  • Amara credits: each plan includes a monthly allowance of assistant questions; extra credits can be purchased, are non-refundable, and are used after the monthly allowance.
  • Renewal & cancellation: paid subscriptions renew automatically until cancelled. You may cancel anytime; access continues until the end of the paid period and does not automatically refund.
  • Changes: we may change prices, fees or plan limits on reasonable notice; changes apply from your next billing cycle.

5. Payments & payouts

Payments are processed by Paystack, subject to their terms. To receive payouts you must complete identity verification (NIN) and connect a bank account in the matching name; verifying business registration (CAC) lifts certain collection limits. Settlement timing depends on the processor (typically within about a day). You are solely responsible for the accuracy of your invoices and for any taxes on your income. Chargebacks, disputes and refunds are handled in line with the processor's rules; funds may be held or reversed where a payment is disputed.

6. Your content & customer data

You retain ownership of the content and data you add. You grant us the rights needed to host, process and display it to operate the Service. You are responsible for your own customers' data and confirm you have a lawful basis to collect and process it and to send them messages through Cliently. As between you and us, for that customer data you are the data controller and we are your processor, as described in our Privacy Policy.

7. Acceptable use

You agree not to use the Service to: break the law or facilitate fraud or money laundering; sell prohibited or counterfeit goods; send spam or unlawful, deceptive or harassing messages; infringe intellectual property; upload malware; attempt to bypass fees, security or access controls; scrape or overload the Service; or misrepresent your identity or business. We may investigate and act on violations.

8. The Amara AI assistant

Amara provides general business assistance generated by AI. It is not legal, tax, accounting, medical or investment advice, and may be inaccurate — verify anything important before relying on it. You are responsible for the content you send to Amara and for how you use its output. Do not rely on it for decisions that require a qualified professional.

9. Intellectual property

The Service, including its software, design and branding, is owned by Lytronet Limited and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, modify, resell or reverse-engineer the Service except as the law allows.

10. Third-party services

The Service integrates third parties (e.g. Paystack, WhatsApp, identity verification). Your use of those may be subject to their own terms, and we are not responsible for their acts or omissions.

11. Availability & disclaimer

We work hard to keep the Service reliable but provide it on an "as is" and "as available" basis, without warranties of any kind to the fullest extent permitted by law. We do not guarantee uninterrupted or error-free operation, or any specific revenue or business result.

12. Limitation of liability

To the fullest extent permitted by law, Cliently and Lytronet Limited will not be liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the claim. Nothing limits liability that cannot be limited by law.

13. Indemnity

You agree to indemnify Cliently and Lytronet Limited against claims and losses arising from your use of the Service, your content, your treatment of your customers' data, or your breach of these Terms or the law.

14. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, to protect the Service or other users, or to comply with the law. On termination your right to use the Service ends; some provisions survive by their nature.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date; continuing to use the Service after changes take effect means you accept them.

16. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute, without prejudice to any mandatory consumer rights.
